MAT & RUBBER CORPORATION Subject: february 1st payment TOP URGENT Subject: february 1st payment Dear Bob, Once again I ask you to honour the agreement you signed with me and pay urgently the february 1st fee. You have left me in an extremely difficult financial situation with your repeated promises and repeated failures to honour your word. You have been making promises but you do not honour them. You have signed a contract with me but you are not honouring the contract. You have made me wait almost 50 days to make a payment which you have promised twice but have not honoured your promises. Once again I kindly ask you to honour your promises and pay the february fee immediately. Thank you Alceu ----- Original Message ----- From: Alceu Natali To: U. S. MAT & RUBBER CORPORATION Sent: Thursday, March 17, 2005 8:23 PM Subject: february 1st payment Dear Bob, I hope you are fine. I am still out on the road and I will gat back to S?o Paulo next saturday morning. I am very frustrated to inform you that Ms. Macedo has called me up once again to let me know that the february 1st payment has not been made yet and that she cannot even have her e-mails replied. I am deeply sorry if you are facing financial difficulties in the USA however you are leaving me in a very extremely difficult situation now. Last time I talked to you by phone, by the end of january, you told me you that you wre going to pay both the january 1st and the february 1st payments in february without fail. But you failed once again as in february you paid only the january fee. Then I had once again to pay the febraury wages of my salesmen with my own money and I have been working for your company with my own money all thse 17 days of march. You promised again that you would pay the februray fee not later than march 15 however once again you did not honour the payment.! I have trusted you so much and I have done so much for your company and now you leave me me in such a difficult situation of not having money left to pay my salesmen for their continued work for your company in march. So I kindly ask you please honour your commitment you have made with me and pay me the february fee which I have been waiting for more the one month and a half. Please kindly do not make me or my secretary write further e-mails pushing you to make pending payments. Just honour the agreement you have signed with me. Thanks in adavnce for your cooperation. Once again I kindly ask you to provide the february 1st payment as my money is tight and I had to finance the work with you products in february with my own funding and now in march I do no have fenough funds to pay my salesmen and i also delayed their february payment. So all I ask you is to kindly cooperate and provide this pending payment immediately so that I can pay my salesmen and also have my own money refunded which I spent during the whole month of february. I do hope your money is not so tight and I wish I did not have to send you more reminders like this. I do like to work with your company and I wish you could always work as a team. Thank you for your coopeartion and best regards, Alceu ----- Original Message ----- From: Alceu Natali To: Marianne Westgate Sent: Tuesday, February 01, 2005 9:31 AM Subject: COOPERATION Dear Bob, Concerning your e-mail dated february 23 please understand that I am aware that your money is tight. I also hope you understand that my cash flow is also tight and my work depends on the punctual payments of my manufactuerers. I know that you agreed to invest for three months and I know you will live up to it and I never doubt it. Yes, I told you that three months should be a good trial period and I confirm that there are enough signs posts that prove that the situation is viable. Please remember I told you that during the first three months what we do is mostly introduction visits bceause you are a newcomer in the market and we have to introduce your company with literature and also swatches in hands. As you remember, we started a little late in december with swatches still arriving in december and I told you that december 20 thru 31 is a dead period for business as all customers are dedicating their full time to Christmas sales. Even so, we made good contacts and we really got calls back for second appointments. We do have concrete signs and we are still negotaiting prices with customers. The month is of january is usually slow in Brazil and in February there is one whole dead week of carnival feast. In all conversations we had by e-mail and phone I always told you the establishment of your business in Brazil requires a full year but you asked me to start with a three month contract and then make subsequent three month contracts which I accepted as I thought it is viable and I still think that it is viable and it is working. I fully undersatnd that you have much more business in the USA but this is so because you are already there longer and you are already known there. However, here in Brazil you are a newcomer and it takes time for your company to be well known. Please note that domestic business and international business are completely different. The cycle of maturation of international business is one year but I have been doing my best to make your company be known very well in a short time. The other companies I represent do defray my costs and the addition of U. S. Mat does not inhibit my trips but please understand that the established routes for each company is different. The customers for U.S Mat are not located in the very same places as the customers for the other companies I represent. We really have to establish different routes for each company. Please kindly underatnd that I am doing my best to cooperate with you and to bring you concrete results in the shortest possible period. I do understand what is like working with tight money beacuse this is my case too as I always work with very tight money and the delay in payments always affect my performance in some way. I had a very good impression of you during our phone conversations and I do like to work with you and I kindly ask you to continue suppporting me and manage to make the february payment as soon as possible because in february our trips for US Mat were somewhat inhibitted by the lack of the necessary funding. All I ask you is please kindly cooperate as we are in the process of many meetings stemmed form calls backs and we cannot lose business opportunities. I like you and I like your company and I also thank you for your trust. We talked several times over the three months and you said three months should be a good trial period.
