Siemens RFI Inquiry (采购产品): Siemens RFI Water Technologies Date: Februrary 12, 2007 To: Whom it May Concern Company: Information reference: RFI (Request for Information) You have been invited to participate in the electronic Request for Information based on your selection as a potential partner for supply of fasteners and hardware to Siemens Water Technologies. Your complete reply MUST be received by 11:59p EST February 21, 2007 in order to be considered in this Bid. A submission will be considered whole when Siemens/ Water Technology is in receipt of the duly executed Confidential Agreement on the part of the recipient of this Request and thorough answers to the complete RFI questions contained within this document. In the coming months, Siemens Water Technologies will intensify its efforts in global commodity management. This action follows along the same lines as our top+/six sigma quality program, supplier relationship strengthening, global sourcing initiatives and increased use of e-business tools. Each of these strategies must be effectively applied for us to compete in the market environment and satisfy ever developing customer demands. Additionally, we are exploring ways to improve the efficiency of all processes related to the purchase of goods. As a part of this effort, we will involve incumbent partners, new suppliers and alternative sources of our assigned commodity, in order to better serve our global community. Your company has been selected to be a key part of the process, and we need your ideas and creativity to craft new partnerships and expand existing relationships that will be mutually beneficial. Through consolidation and better targeting of our purchases, successful suppliers will increase their level of business with Siemens Water Technologies. The opportunity exists for outstanding suppliers to be referred to other Siemens lines of business as Preferred Supplier Partners. We look forward to working with you. The cumulative fastener spend for the next fiscal year at our Siemens Vineland NJ production facility is expected to be in the range of approximately US$ 320,000. The current (2006) fastener spend at our Vineland, NJ facility is US$ 300,000. (Due to the fluctuating nature of the project-based business of Siemens Water Technologies, these figures can be considered a non-binding representation of average volumes. Given the long-term approach of the business relationships we intend to establish with selected suppliers, these amounts can be considered a good reference.) From the responses, Siemens Water Technologies will select certain suppliers to participate in a Request for Quotation covering the spectrum of fasteners and hardware required in the Siemens facility in Vineland NJ. Standard Confidential Information Disclosure Agreement Effective Date: February 13 2007 1. The fact of the existence of this Agreement is Confidential Information. The nature and amount of Confidential Information to be disclosed shall be completely within the discretion of Siemens. 3. The purpose of this Agreement is to assist Siemens in its procurement or potential procurement of goods and/or services from Recipient. 4. Any communication by either party concerning this Agreement shall be sent to the representative of the other party. Confidential Information shall consist of all information regarding Siemens, its products, services or business including, without limitation, reports, analyses, plans, proposals, know-how, formulas, compositions, processes, documents, designs, sketches, photographs, graphs, drawings, specifications, equipment, samples, customer lists, pricing information, business plans, product information, studies, findings, inventions and ideas disclosed by Siemens or any of Siemens’s Affiliates (for purposes of this Agreement “Affiliate” shall mean any person or entity that directly or indirectly controls, is controlled by or is under common control with Siemens). To the extent practical, Confidential Information shall be disclosed in tangible form and marked “Confidential”; however, information disclosed in nontangible form, such as orally or by visual inspection, or in tangible form but not so marked, shall still be considered Confidential Information. Notwithstanding the foregoing, Confidential Information shall also include all information regarding actual or proposed prices charged to, or paid by, Siemens and all other terms applicable to Siemens’s purchase of goods and/or services from Recipient. 6. The Recipient shall prevent disclosure of Confidential Information to any third party, shall restrict its use to the purpose of this Agreement set forth in Paragraph 3 above and shall limit disclosure of |
